These General Terms and Conditions apply to all contracts concluded via the online shop as well as to workshop, repair, diagnostic, programming and service work provided by:

These terms and conditions apply to consumers and businesses. A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession. A business is a natural or legal person or a legal partnership acting in the exercise of its trade, business or profession when concluding the contract.

Conflicting or deviating terms and conditions of the customer shall not be recognized unless MINIPARTS24 has expressly agreed to their validity in writing.

2. Subject of the Contract

MINIPARTS24 operates an online shop for spare parts and accessories as well as a workshop for maintenance, repair, restoration and overhaul of vehicles, in particular MINI vehicles.

3. Conclusion of Contract

The presentation of products in the online shop does not constitute a legally binding offer but an invitation to place an order.

By clicking the “Buy now” button, the customer submits a binding order for the goods contained in the shopping cart. The contract is only concluded upon order confirmation or dispatch of the goods.

Workshop orders are concluded through appointment scheduling, order placement or handover of the vehicle. Offers and cost estimates are non-binding unless expressly designated as binding in writing.

MINIPARTS24 may accept the customer’s offer within two weeks by order confirmation or by commencing the work.

4. Scope of Services, Changes and Deadlines

The scope of services owed is determined by the respective confirmed offer, order or specific purchase.

Changes to the agreed scope of services may be requested by either party in text form. MINIPARTS24 will assess feasibility and is entitled to charge separately for the evaluation effort. Implementable changes require a separate agreement.

Delivery times and deadlines are approximate and non-binding unless expressly confirmed as binding in writing. Deadlines for work services commence only upon handover of the repair item to MINIPARTS24.

In the event of unforeseen circumstances beyond the control of MINIPARTS24, in particular force majeure, official measures, supply shortages, transport disruptions, operational disruptions, fire, flooding, strikes, lawful lockouts, epidemics or pandemics, agreed deadlines shall be extended accordingly.

If MINIPARTS24 is unable to perform even within a reasonable grace period for reasons beyond its control, it shall be entitled to withdraw from the contract in whole or in part. Any consideration already provided will be refunded without delay.

5. Prices, Shipping, Payment and Retention of Title

All prices stated in the online shop include statutory VAT unless otherwise stated. Shipping costs, if applicable, are shown separately during the ordering process.

For workshop orders, the customer will receive an invoice at the latest upon collection of the vehicle. Invoices are due immediately without deduction, but no later than the payment deadline stated on the invoice. Payment must be made before or upon collection.

In the event of late payment, statutory default interest shall apply. For consumers this amounts to 5 percentage points above the base interest rate, for businesses 9 percentage points above the base interest rate.

The customer shall only have a right of set-off or retention if their counterclaims arise from the same contractual relationship or have been legally established, are undisputed or have been acknowledged by MINIPARTS24.

The goods remain the property of MINIPARTS24 until full payment has been received.

6. Delivery, Collection and Storage

Delivery shall be made to the address specified by the customer. Partial deliveries are permissible insofar as this is reasonable for the customer.

The customer is obliged to collect the vehicle promptly after notification of completion. In the event of culpable failure to collect after request, MINIPARTS24 is entitled to charge reasonable storage fees.

Removed original or used parts must generally be collected by the customer within 4 weeks upon request, unless otherwise agreed. MINIPARTS24 assumes no liability for storage beyond this period.

7. Workshop and Repair Services

Cost estimates are non-binding unless expressly agreed otherwise.

Additional work that becomes necessary during repair and was not foreseeable in advance may be carried out if required for proper, roadworthy or technically appropriate execution. Where possible, the customer will be informed in advance.

Parts supplied by the customer are only visually inspected for obvious defects. No technical inspection is carried out. If concerns arise, the customer will be informed. MINIPARTS24 is not liable for hidden defects in supplied parts or resulting damage unless the installation itself was defective.

Normal use does not include use in motorsport, on racetracks or under other exceptional stress, unless the claimed defect would also have occurred under normal use.

If defects arise due to performance-enhancing modifications, any liability or warranty of MINIPARTS24 is limited to the specific services performed. MINIPARTS24 shall not be liable for consequential damage to components not designed or adapted for such performance increases, to the extent permitted by law.

8. Warranty

The statutory rights for defects shall apply unless otherwise specified in these terms and conditions.

In the event of defective performance, MINIPARTS24 is entitled to inspect the reported defect at its discretion either on site or at its premises. No modifications may be made to disputed services or parts without consent if this would hinder or unreasonably complicate the inspection.

Warranty requires in particular that the affected part has been properly installed, used as intended and has not been modified, opened or handled improperly.

For used or refurbished parts, the limitation period for defect claims against consumers is reduced to 12 months from delivery, where legally permissible and expressly agreed. For businesses, the limitation period for defect claims arising from work services is 12 months from acceptance, unless mandatory statutory provisions provide otherwise.

This limitation does not apply to claims for damages, claims due to injury to life, body or health, in cases of intent or gross negligence, fraudulent concealment of a defect or assumption of a guarantee.

The assessment of whether a defect or normal wear and tear exists shall take into account age, mileage, use, maintenance condition and the overall technical condition of the vehicle or component.

9. Wear and Model-Specific Stress

Vehicle components are subject to wear depending on age, mileage and use. A defect does not exist if the impairment is due to normal wear consistent with age, mileage or use.

  • Seals
  • Exhaust systems

For MINI vehicles, particularly the R50 to R61 series and F models, certain components may be subject to increased wear due to design or model characteristics.

10. Liability

MINIPARTS24 shall be liable without limitation in cases of intent and gross negligence as well as in cases of injury to life, body or health.

In cases of simple negligence, liability shall only exist in the event of breach of a material contractual obligation and shall be limited to the foreseeable, typical damage.

11. Lien

MINIPARTS24 shall have a contractual lien on items that have come into its possession as a result of the order.

13. Consumer Dispute Resolution

MINIPARTS24 is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

14. Final Provisions

German law shall apply, excluding the UN Convention on Contracts for the International Sale of Goods.

If the customer is a business, the place of jurisdiction shall be Schüttorf, to the extent permitted by law.

If individual provisions of these terms are or become invalid, the validity of the remaining provisions shall remain unaffected.
